Keri P. Ebeck added to the Mediator List for the U.S. Bankruptcy Court for the Western District of Pennsylvania

(PITTSBURGH) April 28, 2022 – Bernstein-Burkley P.C. Bankruptcy and Restructuring partner Keri P. Ebeck has recently completed he 40-hour training to become a Mediator for the U.S. Bankruptcy Court for the Western District of Pennsylvania. Keri’s background will encompass consumer and commercial bankruptcy matters, including but not limited to mortgage litigation.

Per the Western District of Pennsylvania Bankruptcy Court, Mediation is a simple and informal settlement process in which the Mediator acts as a facilitator to assist the parties in reaching an agreement. The Mediator holds joint conferences with all parties as well as private separate conferences with the parties to discuss the facts, issues, and risks. The Mediator’s experience and understanding of the issues and neutral perspective enhance the possibility of reaching a settlement by agreement of the parties.

In mediation, the mediator does not act as a judge and does not make any decision about who is right or wrong. In arbitration, the parties present their witnesses and evidence to the arbitrator who decides the case in favor of one or more of the parties. Mediation is more informal and is more of a collaborative process than arbitration. A mediation can be scheduled anywhere the parties and mediator agree. Usually, it takes place in a conference room at a location convenient to all parties and can resolve many disputes in a half-day or less.

Century III Mall Reorganization Update

Less than a year after a federal bankruptcy judge in Pittsburgh cleared a Chapter 11 redevelopment plan for Century III Mall, an order for final decree has been entered in the bankruptcy case and the bankruptcy case has been closed.

Century III Mall: Case Closed

Since first filing the Chapter 11 petition in September 2018, Kirk B. Burkley and the Bernstein-Burkley legal team representing Century III Mall PA LLC encountered many issues, including a judgment in favor of Sears in the amount of $4.2 million, a decrease in tenants and rents in the mall complex, the national decline in shopping malls, and the conditions and necessary repairs required to improve the mall structure. The Debtor disputed the Sears claim and that claim was resolved very favorably for the Debtor, allowing the Debtor to proceed with the redevelopment plan.

What’s in the Redevelopment Plan?

As a part of the redevelopment proposed by the Debtor and set forth in the plan of reorganization approved by the Court, the Century III Mall Property will be completely redeveloped. This redevelopment is set to include green space, office/retail buildings, a residential complex, a hotel, an entertainment facility, a multi-tenant restaurant/retail buildings, and four restaurants.

Throughout the reorganization process, the debtor and Burkley met with elected officials for consultation and agreement, including Pennsylvania state senators Jim Brewster and Jay Costa, West Mifflin mayor Chris Kelly, as well as leaders of the Allegheny County Department of Economic Development. The debtor also worked diligently with the Bernstein-Burkley team to create a plan that would allow for secured creditors to be paid in full, as the current property would not provide the revenue necessary to pay the debtor’s secured creditors.

Third Circuit Defines “Received” for Section 503(b)(9) of Bankruptcy Code

(PITTSBURGH) July 11, 2017 – The Third Circuit has laid the disputes over the definition of “received,” as used in Section 503(b)(9) of the Bankruptcy Code, to rest. In a precedential opinion filed July 10, 2017, the Third Circuit reversed the decisions of the Bankruptcy and District Courts for the Eastern District of Pennsylvania by holding that “receipt as used in 11 U.S.C. § 503(b)(9) requires physical possession by the buyer or his agent.”

Bernstein-Burkley Co-Managing Partner, Kirk Burkley, acted as counsel for the appellants in this case, Haining Wansheng Sofa Company and Fujian Zhangzhou Foreign Trade Company (the Creditors). The Creditors sold furniture and similar goods to World Imports (the Debtor), who later filed a Chapter 11 bankruptcy petition on July 3, 2013.

“Legal intricacies can make it extremely challenging for creditors that ship goods internationally or cross-country to determine whether or not their claims are entitled to administrative priority treatment. In this case, it was Bernstein-Burkley’s in-depth understanding of the law and the U.S. Bankruptcy Code, and zealous representation of our client’s interest that ensured a successful result and maximum recovery,” Burkley said.

The Honorable Thomas M. Hardiman begins his opinion, “This appeal involves a question of bankruptcy law that has important ramifications for a creditor that sells goods to a debtor soon before the debtor files a Chapter 11 bankruptcy petition.”

Under 11 U.S.C. § 503(b)(9), a creditor may recover as a priority administrative expense the value of goods “received by the debtor within 20 days before” the bankruptcy petition is filed. In a previous case, the Court had interpreted a related provision of the Bankruptcy Code ((11 U.S.C. § 546(c)), and held that “receipt” occurs when the buyer takes physical possession of the goods. In this case, the court had to determine if the word “received” in § 503(b)(9) similarly requires physical possession. The Third Circuit ruled that it does.
